Terms of Service.

Effective date: November 1, 2026

These Terms of Service ("Terms") are a binding agreement between you and Kane Labs, Inc., a Delaware corporation ("Kane Labs," "we," "us"), governing your use of Yoke. Yoke includes the Yoke desktop and mobile applications, Yoke Cloud, the Blueprint Marketplace, the FDE Marketplace, our websites, APIs, and related services (together, the "Services").

Important: Section 14 contains a binding arbitration agreement and class action waiver. It affects how disputes between you and Kane Labs are resolved. Please read it carefully.

1. Acceptance, eligibility, and definitions

By creating an account, downloading a Yoke app, purchasing Yoke Credits, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Eligibility. You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and the entity.

Changes to these Terms. We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email or in-app notice before the changes take effect. Continued use after the effective date means you accept the revised Terms. Changes to Section 14 (arbitration) will not apply to disputes already filed.

Definitions.

  • Swarm means a multi-agent system you create, configure, or run using Yoke, including its agents, instructions, tools, and connections.
  • Blueprint means a reusable, publishable definition of a Swarm that can be shared, sold, or deployed through the Services.
  • Yoke Cloud means our hosted environment for running Swarms, including the token router and tool router.
  • Yoke Credits or Credits means the prepaid balance used to pay for metered usage of Yoke Cloud and other paid features.
  • Creator means a user who lists a Blueprint for sale on the Blueprint Marketplace.
  • Builder means a user who offers to build, configure, or customize a Swarm for another user through the FDE Marketplace.
  • FDE (Forward Deployed Engineer) means a Builder; these Terms use the two words interchangeably.
  • Client means a user who requests Swarm-building services from a Builder.
  • Output means content, data, actions, and results generated by a Swarm.
  • User Content means anything you upload, create, or submit through the Services, including Blueprints, prompts, files, code, listings, messages, and Output you choose to store or share.

2. The Services

Yoke consists of five connected offerings. Each is covered by these Terms, and some have additional terms noted below.

OfferingWhat it isHow it is paid for
Yoke appsDesktop and mobile applications for designing and running Swarms locallyFree
Yoke CloudHosted execution of Swarms, including the token router (model access) and tool router (tool access)Metered usage paid with Yoke Credits (Section 4)
Blueprint MarketplaceA marketplace where Creators sell Blueprints to other usersPurchase price set by the Creator, less a Kane Labs marketplace fee (Section 5)
FDE MarketplaceA marketplace where Clients hire Builders to build or customize SwarmsProject price agreed between Client and Builder, held in escrow by Kane Labs (Section 6)
Managed ServicesRecurring subscriptions under which an FDE or Kane Labs monitors, maintains, and responds to incidents for your SwarmSubscription fee set by the provider, plus a Kane Labs platform fee on FDE-provided services (Section 6)

Free apps. The Yoke desktop and mobile apps are provided at no charge under the license in Section 7. We may change, limit, or discontinue free features at any time. Swarms you run locally through the apps use your own compute and any third-party credentials you supply.

Beta and preview features. Some features may be labeled beta, preview, or experimental. These are provided as-is, may change or be withdrawn without notice, and may be subject to additional terms.

Service changes. We may modify, suspend, or discontinue any part of the Services. Where a change materially reduces a paid feature, we will give reasonable notice where practical and may, at our discretion, credit or refund unused prepaid amounts attributable to that feature.

3. Accounts and security

You need an account to use Yoke Cloud, buy or sell on either marketplace, or publish Blueprints. You must provide accurate information and keep it current.

You are responsible for everything that happens under your account, including actions taken by Swarms you run. Keep your credentials, API keys, and Credits secure. Tell us promptly at security@kanelabs.com if you suspect unauthorized access.

API keys and third-party credentials. If you connect third-party accounts or supply your own API keys to a Swarm, you are responsible for those credentials and for complying with the third party's terms. We store them only as needed to provide the Services.

Organizations. An organization account may have an administrator who can manage members, Credits, and access. Administrators may view usage and content within the organization's workspace. If you join an organization's workspace, your use of it is also subject to that organization's policies.

Verification. We may require identity or business verification before you can sell Blueprints, offer Builder services, or receive payouts, and we may use a third-party payment processor to perform it.

4. Yoke Credits and metered billing

Yoke Cloud is paid for entirely through metered usage, deducted from your Yoke Credits. Credits are prepaid and non-refundable. Credits purchased under these Terms do not expire; we may set expiration periods for Credits purchased after a future change to these Terms, with notice, and for promotional Credits at any time.

Runtime charges. A Swarm deployed to Yoke Cloud accrues runtime charges for as long as it remains deployed, at the rates on the pricing page. You can pause or undeploy a Swarm at any time to stop them.

Activity, autoscaling, and metered usage. When a Swarm is active, additional runtime, memory, and compute are metered at the rates on the pricing page, and Yoke Cloud may automatically scale capacity to meet demand. You can set spending limits and autoscaling caps in your account settings; if you set none, autoscaling is limited to the default cap shown there. We may notify you when your usage approaches the limits you set, but you remain responsible for all metered usage your Swarms incur up to those limits, including usage caused by a Swarm's own behavior.

Purchasing Credits. You can buy Credits at the prices shown at checkout. Prices may change with notice, but a change does not affect Credits you have already purchased. Credits are denominated in U.S. dollars unless otherwise stated.

What Credits pay for. Credits are deducted for metered usage of Yoke Cloud, including:

  • Runtime, memory, and compute for deployed Swarms, including autoscaled capacity;
  • Model usage routed through the token router, charged at the rates on the pricing page, which may be the provider's published rate or a rate we set;
  • Tool and API calls routed through the tool router, including Kane Labs's own tools and third-party tools, charged per run at the rate for each tool shown in the product and on the pricing page;
  • Knowledge graph storage, indexing, and queries, measured by the data stored and the operations run;
  • Storage, bandwidth, and any other metered resources listed on our pricing page.

Current rates are published on our pricing page, and the Credit cost of a metered action is shown or available in the product before it runs. We may change our own rates with at least 14 days' notice; changes in third-party provider prices for models and tools may be passed through immediately. We may also change the structure of Cloud pricing, including by introducing plans, tiers, minimums, or bundles, with notice. Usage is measured by our systems, and our records are final absent manifest error. We may apply rate limits, concurrency limits, and fair-use limits to any part of the Services, and may throttle or pause workloads that exceed them.

Credits are not money. Credits have no cash value, cannot be redeemed for cash, and cannot be transferred, sold, or exchanged except as we expressly allow. Credits are not refundable except where required by law or as stated in Section 2 (Service changes) or Section 12 (termination by us without cause). Promotional or free Credits may carry expiration dates and other conditions stated at the time of grant. Amounts you pay for Credits become Kane Labs's funds when paid; we may hold them in interest-bearing or investment accounts and retain any interest or return. Credits do not earn interest, and we are not a bank, money transmitter, or custodian of funds on your behalf.

Running out of Credits. If your balance reaches zero, your deployed Swarms may be paused and metered features suspended until you add Credits. We will give you notice before pausing where practical, and we may keep a paused Swarm's state for a reasonable period so it can resume when you add Credits. We are not responsible for interrupted work resulting from an exhausted balance. To avoid interruptions, you can enable auto-reload.

Auto-reload. When you enable auto-reload, you authorize us to charge your saved payment method for the reload amount you choose whenever your Credit balance falls below the threshold you choose, until you turn auto-reload off. Before you enable it we will show the reload amount, the threshold, and that charges will recur automatically; we will send a receipt for each reload; and you can set a monthly cap on auto-reload charges. You can turn auto-reload off at any time in your account settings, with effect from the next reload, and turning it off is as easy as turning it on. If a reload payment fails, we may retry it and may pause your Swarms under the paragraph above until a payment succeeds. We will notify you at least 14 days before any change to auto-reload pricing or terms that affects you.

Payment processing. Payments are processed by a third-party payment processor. By making a purchase you also agree to that processor's terms. You authorize us and the processor to charge your payment method for amounts you incur. We may offer several payment methods, including cards and digital wallets, bank transfer (ACH), and USDC or other stablecoins through our processor, as shown at checkout. Stablecoin payments are converted to U.S. dollars by the processor at the time of purchase; we do not hold cryptocurrency on your behalf, and on-chain transfers to a wrong address cannot be reversed.

Taxes. Prices exclude taxes. You are responsible for sales, use, VAT, GST, and similar taxes, which we will collect where required. If you are tax-exempt, provide a valid exemption certificate.

Disputes and chargebacks. Contact billing@kanelabs.com within 30 days of a charge you believe is incorrect. Initiating a chargeback for Credits that have been used may result in suspension of your account.

5. Blueprint Marketplace

The Blueprint Marketplace lets Creators sell Blueprints to other users. Kane Labs operates the marketplace and processes payments; the Creator is the seller of each Blueprint. Kane Labs also sells its own Blueprints as a Creator (see Section 6, Kane Labs as a participant).

Listing a Blueprint. To list a Blueprint you must own or have the rights to everything in it, including the right to allow its use for training under Section 8. You set the price. Each listing must accurately describe what the Blueprint does, what models, tools, and third-party services it requires, and any known limitations. We may review, reject, reorder, or remove listings at our discretion, including for quality, safety, or policy reasons.

Fees. Kane Labs charges a marketplace fee per sale, which may be a percentage of the price, a fixed amount, or both, stated on the pricing page at the time of listing. The fee is deducted from the sale price before payout. Fee changes apply to sales made after the change takes effect.

Payouts. Creator earnings are paid through our payment processor on the schedule stated in your Creator dashboard, after a holding period to cover refunds and chargebacks. You are responsible for your own taxes on earnings and for providing any tax forms we request.

Buyer license. When you buy a Blueprint, you receive a non-exclusive, non-transferable license to use, modify, and run it for your own purposes, including in Swarms you deploy to Yoke Cloud. Unless the listing grants broader rights, you may not resell, relist, or redistribute the Blueprint, or a version of it that copies its prompts, code, or other expressive content, on any marketplace. Ownership of a Blueprint does not give anyone exclusive rights to the workflow, architecture, node layout, or method it implements; others, including Kane Labs and its models, may build and distribute Swarms and Blueprints that use the same approach.

Refunds. Blueprint purchases are final once the Blueprint has been downloaded or deployed, except where the Blueprint materially fails to match its listing or where required by law. Refund requests must be made within 14 days of purchase through the marketplace.

Creator responsibilities. Creators are solely responsible for their Blueprints, including their accuracy, safety, and compliance with law and with the terms of any third-party model or tool the Blueprint uses. Creators agree to provide reasonable support for their listings and to keep them compatible with the current version of Yoke, or to withdraw them.

Disputes between buyers and Creators. We may mediate disputes and may issue refunds from Creator earnings where a Blueprint does not match its listing. Our decision on refunds is final for marketplace purposes.

6. FDE Marketplace

The FDE Marketplace lets Clients hire Builders to design, build, or customize Swarms. Kane Labs holds project funds in escrow, releases them when work is accepted, and decides disputes over escrowed funds as described below.

How a project works.

  1. A Client posts a request describing the Swarm they want, their budget, and timeline.
  2. Builders submit proposals. The Client selects a Builder and the parties agree on a scope, price, and milestones through the platform.
  3. The Client funds the project (or the first milestone) in full. Kane Labs holds the funds in escrow.
  4. The Builder delivers. The Client has 7 days after each delivery to accept it or request revisions. Silence for 7 days counts as acceptance.
  5. On acceptance, Kane Labs releases the milestone payment to the Builder, less the service fee.

Fees. Kane Labs charges a service fee on each project, stated on the pricing page and shown before a project is funded. The fee may be charged to the Client, the Builder, or both, as stated at the time.

Escrow. Funds in escrow are held by Kane Labs or its payment processor for the benefit of the parties. Escrowed funds are not Credits, do not earn interest for you, and are released only on acceptance, agreed cancellation, or a dispute decision.

Refunds from escrow. If the dispute process below finds that a Builder did not deliver work meeting the agreed written scope, Kane Labs will refund the Client the escrowed amount for the undelivered or non-conforming milestone, less any portion the decision allocates to the Builder. Refunds are limited to funds actually held in escrow for the written scope. Kane Labs does not guarantee any Builder's work, and has no obligation for work agreed off-platform, changes not recorded in the project, milestones already released, lost profits, or any amount beyond the escrowed project price.

Disputes. Either party may open a dispute during the acceptance window. Both parties will provide the deliverables, project messages, and any other evidence we request. Kane Labs will review the record against the written scope and decide, within a reasonable time, whether to release funds to the Builder, refund the Client, or split the funds. Both parties agree that our decision is final and binding for purposes of the escrowed funds. This dispute process does not limit either party's rights under Section 14 for claims against Kane Labs.

Off-platform work. All payments for projects started on the marketplace must go through the platform for 12 months after the parties first connect. Taking work off-platform to avoid fees is a breach of these Terms, and Kane Labs has no obligation regarding off-platform work.

Relationship of the parties. Except where Kane Labs itself is the Builder (see Kane Labs as a participant, below), Builders are independent contractors, not employees, agents, or partners of Kane Labs. Kane Labs does not supervise Builders' work and does not guarantee a Builder's skills, availability, or results.

Ownership of deliverables. Unless the project agreement says otherwise, the Client owns the delivered Swarm and Blueprint on full payment, and the Builder retains the right to reuse general know-how, techniques, and any pre-existing components they contributed, which are licensed to the Client as part of the deliverable.

Managed Service subscriptions

Managed Services are recurring subscriptions, sold on top of a Blueprint or Swarm, under which a provider operates, monitors, maintains, or responds to incidents for a Swarm on your behalf. Managed Services may be provided by an FDE through the FDE Marketplace or by Kane Labs directly.

Subscriptions and billing. Managed Services are billed in advance on the recurring schedule shown at purchase and renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period; fees already paid are non-refundable except where the Managed Service was materially unavailable or as required by law. Kane Labs may charge a platform fee on FDE-provided Managed Services, stated on the pricing page.

Cloud usage is separate. A Managed Service subscription covers the provider's services only. Yoke Cloud usage by the managed Swarm, including hosting, model routing, and tool routing, is metered and paid with Yoke Credits under Section 4 unless the listing expressly states otherwise.

FDE-provided Managed Services. The FDE is the provider and is responsible for delivering the service described in the listing, including any response times, monitoring coverage, or uptime commitments it advertises. Kane Labs hosts the listing, processes billing, and may mediate disputes, but does not guarantee an FDE's Managed Service. If an FDE stops providing a Managed Service, Kane Labs will cancel the subscription and refund any prepaid period not yet delivered, and may offer a replacement provider.

Kane Labs Managed Services. Where Kane Labs is the provider, the service levels, support hours, and remedies are those stated in the applicable service description or order, which forms part of these Terms. Service credits stated there are your sole remedy for missed service levels.

Access required to deliver the service. By subscribing, you authorize the provider to access the managed Swarm, its logs, metrics, and configuration, and to make changes within the scope of the service. The provider must keep your data confidential and use it only to deliver the service.

Kane Labs as a participant on its own marketplaces

Kane Labs uses Yoke the way you do. We sell our own Blueprints on the Blueprint Marketplace, submit proposals and act as the Builder on FDE Marketplace projects, and offer our own Managed Services. When we do, the following applies.

Identification. Every Kane Labs listing, proposal, and Managed Service is labeled as a Kane Labs offering, so you always know when you are dealing with us rather than a third party.

Same terms. When Kane Labs sells a Blueprint, Section 5 applies and Kane Labs is the Creator. When Kane Labs is the Builder on a project, Section 6 applies and Kane Labs is the Builder: the written scope, escrow, milestones, and acceptance windows work the same way, and your contract for that project is directly with Kane Labs. The statement that Builders are independent contractors does not apply to projects where Kane Labs is the Builder.

Fair treatment of third parties. We do not give our own listings or proposals access to other users' private data, project messages, or competing proposals. We decide how listings are ranked, featured, and recommended, and may feature our own offerings, provided they are labeled as ours. Kane Labs employees who work on our marketplace offerings do not decide disputes involving those offerings.

Disputes where Kane Labs is a party. The dispute process in Section 6 is designed for disputes between two users. Where Kane Labs is the Creator, Builder, or Managed Service provider, you may (a) request review by a Kane Labs team member who was not involved in the offering, whose decision on the escrowed or prepaid funds we will honor; or (b) proceed directly under Section 14. If an internal review finds in your favor, we will refund the escrowed or prepaid amount for the non-conforming work.

Co-delivered projects. Some FDE Marketplace projects are delivered jointly by an FDE and Kane Labs, with Kane Labs providing technical support, integration work, or full delivery. Before a co-delivered project is funded, the project page shows which party is the contracting party for the Client, what each party will deliver, and the share of the project price allocated to each. Where Kane Labs is the contracting party, the FDE performs its portion as an independent subcontractor to Kane Labs under a scope and split it has accepted, using its own tools and methods and remaining free to take other work. Where the FDE is the contracting party, Kane Labs's involvement is a support service to the FDE, and Section 6 applies to the Client's project as for any other Builder. In both cases the Client's single point of contact, acceptance process, escrow, and dispute path are those shown on the project page.

Sourced projects and referral fees. Where Kane Labs sources a Client and places the project with an FDE, Kane Labs retains a sourced-project fee stated on the pricing page as a percentage of the project price, in place of (not in addition to) the standard Builder service fee. The sourced-project fee covers lead generation, Client management, and light-touch technical support; where Kane Labs's involvement goes beyond that, the project is a co-delivered project under the paragraph above and the share allocated to each party is shown on the project page. Kane Labs may also receive or pay referral fees in other cases. All such fees are disclosed to the FDE before it accepts the project and do not change the price the Client pays.

Professional services and custom applications. Kane Labs may build custom Swarms, Blueprints, integrations, or applications ("Custom Work") for you under a written statement of work, which forms part of these Terms and controls if it conflicts with them. Unless the statement of work says otherwise: (a) on full payment you own the Custom Work specific to you, including its configuration, prompts, and user-facing application code; (b) Kane Labs retains ownership of the Yoke platform, its backend services, its tools and models, and any pre-existing or general-purpose components, which are licensed to you as part of the Custom Work for as long as the Custom Work runs on Yoke Cloud; (c) Custom Work that depends on Yoke Cloud will stop operating if your Credits lapse or the Swarm is undeployed; and (d) warranties, acceptance, and remedies for Custom Work are those stated in the statement of work, and Section 13 otherwise applies.

7. Content and intellectual property

You own your content. You retain all rights in your User Content, including Blueprints you create and Output your Swarms generate. Kane Labs does not claim ownership of either.

License to Kane Labs. So that we can operate the Services, you grant Kane Labs a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display your User Content as needed to provide the Services to you. For Blueprints you publish or list for sale, you additionally grant us the right to display, promote, distribute, and sell them through the marketplace, to sublicense them to buyers on the terms in Section 5, and to use their names, descriptions, and screenshots, and your Creator or Builder name, in marketing for the Services. These licenses end when you delete the content or close your account, except that (a) licenses already granted to buyers continue, (b) content you shared publicly may persist in others' copies, (c) we may keep backups for a reasonable period, and (d) the training license in Section 8 continues.

Public and shared content. If you make a Blueprint or other content public, other users may view and, where the Services allow, use it under the license you choose or the default marketplace license. Share content only if you are comfortable with that.

Feedback. If you send us suggestions or feedback, we may use them without obligation to you.

Kane Labs's intellectual property. Yoke, the Swarm primitive, the apps, Yoke Cloud, the routers, our trademarks, and all related software and content are owned by Kane Labs or its licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Yoke apps and access the Services for your internal purposes. You may not copy, modify, reverse engineer, decompile, or create derivative works of the Services except to the extent permitted by law or by an open-source license we have applied to a specific component.

Copyright complaints. We respond to notices under the Digital Millennium Copyright Act. Send notices to our designated agent at dmca@kanelabs.com with the information required by 17 U.S.C. § 512(c)(3). We may terminate repeat infringers.

8. AI and autonomous agent terms

Swarms are autonomous multi-agent systems. They act on instructions you give them, may call tools and external services, and may produce unexpected results. You are responsible for how you configure, supervise, and use them.

Output is not guaranteed. Output is generated by machine learning models and tools and may be inaccurate, incomplete, biased, or unsuitable for your purpose. You must evaluate Output before relying on it, and you must not use Output as a substitute for professional advice in legal, medical, financial, or safety-critical matters.

Actions taken by Swarms. A Swarm may be able to send messages, make purchases, modify files, call APIs, or take other real-world actions through tools you connect. You are responsible for every action a Swarm takes on your behalf, as if you had taken it yourself. Use permissions, approvals, spending limits, and sandboxing appropriately for the risk involved.

Human oversight. You agree not to deploy Swarms in a way that makes consequential decisions about people (such as employment, credit, housing, insurance, or legal rights) without meaningful human review, or in any manner prohibited by applicable AI or consumer protection law.

Third-party models and tools. Models and tools accessed through the token router and tool router may be provided by third parties or hosted by Kane Labs. If Kane Labs hosts models in the future, they will be identified as such in the product and priced on the pricing page. The availability, behavior, pricing, and terms of third-party models and tools may change without notice. Your use of them is subject to the provider's terms, which we will link from the Services where practical. We may add, remove, or substitute providers.

We train on your data. Kane Labs uses data from your use of the Services to train, fine-tune, evaluate, and improve our models, routers, and Services, including workflow-specific models that learn how Swarms are built and run. This includes your prompts, Blueprints, Swarm configurations, execution traces (agent orchestration, tool calls and their results, timing, errors, and corrections you make), knowledge graph usage patterns, and Output (together, "Training Data"). Training is on by default. You can turn it off at any time in your account settings; the change applies to data generated, and Blueprints listed, after that point, and models already trained are not affected. You keep ownership of your Blueprints and Output under Section 7; training on them does not transfer ownership, and we will not redistribute or sell a copy of your Blueprint itself except through the marketplace license you chose. Models trained on Training Data may learn patterns, structures, and techniques from it, and the license you grant for training is perpetual and irrevocable because trained models cannot be untrained.

Organizations. Organizations that sign a Data Processing Addendum or enterprise agreement with Kane Labs are excluded from training unless that agreement says otherwise. Section 15 explains that a signed agreement controls over these Terms.

What we do not train on. We will not train on: (a) credentials, third-party API keys, and payment details, which we take reasonable steps to remove before use; (b) the content of files a Client uploads to an FDE Marketplace project and the content of messages exchanged within it, which may contain the Client's confidential information; this does not limit our use of platform logs, execution traces, test runs, and other telemetry generated during a project, of Swarms and Blueprints delivered through a project once deployed or published, or of de-identified structural and summary data about a project (such as its type, scope, duration, and outcome) after it closes; (c) data from organizations covered by a Data Processing Addendum, as above; or (d) output from third-party model providers whose terms prohibit its use for training, which we use only for evaluation or exclude. Where a Swarm processes personal data of third parties, you are responsible for ensuring you have the right to allow that use.

Aggregated data. Separately from training, we may use aggregated, de-identified usage data to improve routing, reliability, and performance, and to publish statistics about the Services; this applies to all accounts, including organizations excluded from training.

Similar output. Because models generate Output from patterns, other users may receive similar or identical Output. Kane Labs does not warrant that Output is unique or that it is free of third-party rights.

9. Acceptable use

You may not use the Services, or build or run a Swarm, to:

  • Break the law, infringe others' rights, or violate the terms of any model, tool, or service your Swarm uses;
  • Generate, distribute, or facilitate child sexual abuse material, non-consensual intimate imagery, or content that incites violence or harassment;
  • Develop weapons, malware, or exploits, or gain unauthorized access to any system, account, or data;
  • Send spam, scrape without permission, evade rate limits, or circumvent Credit metering, fees, or escrow;
  • Impersonate people or organizations, or present Output as human-made where that would deceive;
  • Sell Blueprints or services you do not have the right to sell, or that are copied from another Creator;
  • Manipulate marketplace rankings, reviews, or disputes, or collude with other users to do so;
  • Interfere with the Services, probe their security, or reverse engineer them except as the law permits;
  • Run workloads whose main purpose is unrelated to Swarms (such as cryptocurrency mining) on Yoke Cloud;
  • Collect or process personal data in violation of privacy law, or process regulated data (such as protected health information or cardholder data) unless we have agreed in writing.

We may investigate suspected violations and may remove content, pause Swarms, withhold marketplace funds related to a violation, suspend or terminate accounts, and report activity to law enforcement. We may also publish more detailed usage policies, which form part of these Terms.

10. Third-party services

The Services depend on and connect to third-party services, including model providers, tool and API providers, cloud infrastructure, payment processors, and services you connect yourself. We do not control these services and are not responsible for their availability, accuracy, security, or terms. Your use of them is governed by their own terms and privacy policies. If a third-party provider withdraws or restricts a model or tool, we may remove it from the routers without liability to you, and Blueprints that depend on it may stop working.

11. Privacy

Our Privacy Policy explains what personal data we collect, how we use it, and your choices. By using the Services you agree to it. Where you use Yoke Cloud or a Swarm to process personal data of others, you are the controller of that data, we act as your processor for hosted workloads, and our Data Processing Addendum (available on request) applies. Organizations covered by a Data Processing Addendum or enterprise agreement are excluded from training under Section 8 unless that agreement says otherwise. You are responsible for having a lawful basis and any required notices or consents for data your Swarms process.

12. Termination and suspension

By you. You may stop using the Services or close your account at any time through your account settings. Closing your account forfeits any unused Credits, which are non-refundable, and withdraws your marketplace listings. Open marketplace projects must be completed or cancelled first.

By us. We may suspend or terminate your access immediately if you materially breach these Terms, create risk or legal exposure for us or other users, fail to pay, or if required by law. We may also terminate for any other reason on 30 days' notice; in that case we will refund the purchase value of your unused Credits.

Effect. On termination your license to use the Services ends and running Swarms will be stopped. You will have 30 days to export your User Content unless the termination was for a serious breach or legal reasons. Marketplace funds in escrow will be handled under Section 6. Sections that by their nature should survive (including Sections 4, 5, 6, 7, 8, 13, 14, and 15) survive termination.

13. Disclaimers, limitation of liability, and indemnification

Disclaimers. THE SERVICES, THE YOKE APPS, YOKE CLOUD, ALL BLUEPRINTS, ALL BUILDER SERVICES, ALL MANAGED SERVICES, ALL CUSTOM WORK, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT ANY SWARM WILL BEHAVE AS INTENDED. WE PROVIDE NO WARRANTY FOR BUILDER SERVICES BEYOND THE ESCROW REFUND PROCESS IN SECTION 6, AND ANY WARRANTIES FOR MANAGED SERVICES OR CUSTOM WORK ARE SOLELY THOSE STATED IN THE APPLICABLE SERVICE DESCRIPTION OR STATEMENT OF WORK. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, KANE LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, ANY SWARM, BLUEPRINT, OUTPUT, OR BUILDER SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KANE LABS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. THESE LIMITS DO NOT APPLY TO OUR OBLIGATION TO RELEASE OR REFUND ESCROWED FUNDS UNDER SECTION 6, OR TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

Indemnification. You will defend, indemnify, and hold harmless Kane Labs and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your User Content, Blueprints, Builder services, or Managed Services you provide; (b) actions taken by Swarms you run; (c) your breach of these Terms or of law; or (d) your violation of any third party's rights. We may control the defense of any claim you indemnify, at our option.

14. Dispute resolution and governing law

Governing law. These Terms are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-laws rules.

Informal resolution first. Before filing a claim, you and Kane Labs agree to try to resolve the dispute informally. Send a written notice describing the dispute to legal@getyoke.com (we will send ours to the email on your account). If the dispute is not resolved within 60 days of the notice, either party may proceed as set out below.

Binding arbitration. Except as noted below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business users). The arbitrator will decide all issues, including the scope and enforceability of this agreement to arbitrate. Arbitration may be conducted by video or telephone, or in person in Delaware or in the county where you live. Judgment on the award may be entered in any court with jurisdiction.

Fees. For consumer claims, AAA rules govern fee allocation, and Kane Labs will pay arbitration filing and arbitrator fees above US $250 where required by those rules. Each side pays its own attorneys' fees unless the arbitrator awards them under applicable law.

Exceptions. Either party may (a) bring an individual claim in small claims court; (b) seek injunctive or other equitable relief in court for infringement or misuse of intellectual property; and (c) bring claims that applicable law says cannot be arbitrated. Escrow disputes between Clients and Builders are decided under Section 6, not this Section.

CLASS ACTION WAIVER. YOU AND KANE LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court, and the rest of this Section will still apply.

Mass filings. If 25 or more similar demands are filed by or with the help of the same counsel, the parties agree to a batched process in which cases are resolved in groups of 10, with the AAA's mass arbitration procedures applying where available.

Opt-out. You may opt out of this arbitration agreement by emailing legal@getyoke.com within 30 days of first accepting these Terms, stating your name, account email, and that you opt out. Opting out does not affect any other part of these Terms.

Court claims. For any claim not subject to arbitration, you and Kane Labs consent to the exclusive jurisdiction of the state and federal courts located in Delaware and waive any right to a jury trial to the fullest extent permitted by law.

15. General provisions

Entire agreement. These Terms, the Privacy Policy, our pricing page, and any usage policies or additional terms we reference are the entire agreement between you and Kane Labs regarding the Services. They supersede prior agreements on the subject. If you or your organization has signed a separate written agreement with Kane Labs (such as an enterprise agreement, order form, or Data Processing Addendum), that agreement controls over these Terms to the extent they conflict.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party model or infrastructure providers.

Export and sanctions. You may not use the Services in violation of U.S. export control or sanctions laws, and you represent that you are not located in an embargoed country or on any restricted-party list.

U.S. government users. The Services are commercial computer software and documentation, provided with only the rights granted to all other users.

Notices. We may notify you by email, in-app message, or by posting on our website. Notices to us go to Kane Labs, Inc., Attn: Legal, 250 E 200 S, Salt Lake City, UT 84111, or legal@getyoke.com.
